I agree with Kitt, as I have done some research on the whole Cortisol thing. I used to wake up all the time like that, even in the middle of the night, heart racing, lightheaded, shaking, etc.... When it got too bad, I just got up out of bed, found a quiet spot so as not to disturb hubby's sleep, and did some deep breathing. It calmed me down enough so that I could lay down and head back to dream land.
As for getting panicky when "over tired". I find that I get the same way too, not so much panicky, but feeling lightheaded and a bit jittery. I just go to my bedroom and read a book until I can fall asleep.
